Bajaj Gets European Commission Approval to Take Control of KTM Parent Company

In a regulatory filing, Bajaj Auto Limited informed that its wholly owned subsidiary, Bajaj Auto International Holdings B.V. (BAIH), has received notification from the European Commission regarding its proposed acquisition of control in Pierer Mobility AG. The company stated that the closing of the change of control is expected in the coming weeks.
According to the company’s filing, the European Commission has confirmed that it will not initiate an in-depth investigation under Article 11 of the Foreign Subsidies Regulation (Regulation 2022/2560). With this notification, BAIH is permitted to proceed with the completion of the transaction.

Details of the Transaction

In May 2025, BAIH signed a call option agreement with Pierer Industrie AG and Pierer Konzerngesellschaft mbH (PIKO) to purchase the remaining shares, pending regulatory approvals across multiple countries. The agreement provides BAIH the right to acquire all shares held by Pierer Industrie AG in Pierer Bajaj AG. This would allow Bajaj Auto to gain indirect control of Pierer Mobility AG by the end of May 2026.
With this clearance, BAIH can now acquire Pierer Industrie AG’s 50.1 percent stake in Pierer Bajaj AG. After completion, BAIH will become the sole owner of Pierer Bajaj AG, which holds a 74.9 percent stake in Pierer Mobility AG, the parent company of KTM.
Recently, the Austrian Takeover Commission approved Bajaj Auto International Holdings B.V. (BAIH), a wholly owned subsidiary of Bajaj Auto Limited, to proceed with taking control of Pierer Bajaj AG. The regulator classified the move as a restructuring under Austrian takeover law, exempting BAIH from making a mandatory offer to the shareholders of Pierer Mobility AG.
Bajaj Auto stated that merger control approvals have been obtained from authorities in Austria, Poland, Colombia, Saudi Arabia, the United States and Turkey, along with clearance under Austria’s Foreign Investment Control framework.
