Tata Motors to Be Renamed as Tata Motors Passenger Vehicles Limited
Tata Motors Limited has announced a structural change under a Composite Scheme of Arrangement, effective October 1, 2025. The company’s passenger vehicle arm will retain the main listed identity, while its commercial vehicle business will be separated into a new entity.
Tata Motors to Be Renamed as Tata Motors Passenger Vehicles Limited
Tata Motors Limited has confirmed that the National Company Law Tribunal (NCLT), Mumbai Bench, approved the Composite Scheme of Arrangement involving Tata Motors Limited (TML), TML Commercial Vehicles Limited (TMLCV) and Tata Motors Passenger Vehicles Limited (TMPV). The scheme became effective on October 1, 2025, with July 1, 2025, as the appointed date. Under this arrangement, the commercial vehicles business of Tata Motors has been demerged into TMLCV, while TMPV has been merged with TML.
Name Change and Business Focus
Following the implementation of the scheme, Tata Motors Limited will change its name to Tata Motors Passenger Vehicles Limited. The renamed entity will continue to focus on the passenger vehicle business, including its electric mobility operations and Jaguar Land Rover (JLR) investments. Simultaneously, TML Commercial Vehicles Limited will be renamed Tata Motors Limited. This entity will handle the company’s commercial vehicle operations.
Shareholding and Record Date Details
Tata Motors has set October 14, 2025, as the record date to decide which shareholders will get new shares after the company’s restructuring. Every person who owns one share of Tata Motors on that date will get one share in TML Commercial Vehicles Limited in return. The filing said, "The Company has fixed Tuesday, October 14, 2025, as the “Record Date” to ascertain eligible shareholders of the Company who shall be issued and allotted 1 (one) share (face value of Rs 2/- each fully paid up) in TMLCV, for every 1 (one) share (face value of Rs 2/- each fully paid up) held in TML by them as on the Record Date."
The company noted that the share price of Tata Motors would be adjusted by stock exchanges to reflect the separation of the commercial vehicle business. The new shares of TMLCV will later be listed on both the BSE and NSE, following the necessary regulatory approvals.
Next Steps for Shareholders
According to Tata Motors, guidance on the cost of acquisition of shares in both companies will be provided later. The company stated that all relevant updates will be shared with shareholders through email and stock exchange filings once available.
