Mahindra & Mahindra (M&M) has signed a share purchase agreement to transfer its entire stake in Mahindra Racing UK Limited to a subsidiary of Tech Mahindra. The move is aimed at realigning group priorities.
Mahindra Transfers Mahindra Racing UK To Tech Mahindra Arm In Internal Realignment
Mahindra & Mahindra (M&M), through its wholly owned subsidiary Mahindra Overseas Investment Company (Mauritius) Limited (MOICML), entered into a share purchase agreement with Tech Mahindra London Limited (TMLL). Under this agreement, MOICML will transfer its full stake in Mahindra Racing UK Limited (MRUK) to TMLL, a subsidiary of Tech Mahindra.
Reason for Transfer
Mahindra & Mahindra stated that the transaction is in line with its internal structuring plan. After completion, MRUK will cease to be a subsidiary of Mahindra & Mahindra or MOICML.
Financial Contribution of MRUK
For the financial year ending March 31, 2024, MRUK reported revenue of Rs 316.29 crore. After eliminating internal group transactions, it contributed Rs 124.65 crore to Mahindra's consolidated turnover, representing 0.09 percent. Its net worth contribution stood at Rs 25.91 crore (0.04 Percent of the consolidated net worth).
Deal Value and Timeline
The sale agreement was formalised on May 2, 2025 and the transaction is expected to conclude by June 30, 2025. The agreed consideration for the transfer is GBP 1.20 million (approx. Rs 13.5 crore).
Details of the Buyer
TMLL was established in the UK in 2000, which is a wholly owned subsidiary of Tech Mahindra and primarily functions as an investment holding entity. Tech Mahindra, a listed associate of Mahindra & Mahindra, operates in the technology consulting and digital services space.
Related Party Consideration
As both MOICML and MRUK are subsidiaries of Mahindra & Mahindra and the buyer is part of Tech Mahindra, which is an associate company, the transaction qualifies as a related party transaction. The agreement has been confirmed to be executed on an arm’s length basis.
